Key Terms & Definitions

Before reviewing client eligibility and our tiered engagement model, the following definitions establish a common language for how ECM structures and delivers its services.

Tier (ECM Engagement Tier)

Defines the scope, complexity, and depth of ECM’s advisory and management services. Each Tier reflects:

  • the breadth of services provided—from targeted consulting to fully embedded management;

  • the level of ECM’s involvement in the client’s operations and strategic initiatives; and

  • the expected size and complexity of the client’s project or mandate.

Project Size

Represents the aggregate financial scale of the initiative or transaction for which ECM is engaged. This may include—without limitation—

  • total capital to be raised or deployed,

  • the enterprise value of the business or assets under consideration, or

  • the overall monetary scope of the transaction or strategic program.

Project size is an indicator of the engagement’s complexity and risk profile; it is not a guarantee of outcome or a statement of returns.

Included Services

Covers the core advisory and management deliverables agreed upon within the engagement Tier. These services are included in the agreed fee and hours and are detailed in the engagement letter. Examples include feasibility studies, strategic structuring, financial modelling, and regulatory compliance support.

Out-of-Scope Services

Refers to any activities or deliverables beyond the agreed Tier mandate or outside the defined hours. Such services require separate approval and may be billed at ECM’s prevailing hourly rate or by separate quotation. Examples include unexpected jurisdictional filings, emergency transaction structuring, or additional feasibility studies requested mid-engagement.
